Bitsirius Legal Services Agreement

The Bitsirius Legal Services Agreement (the "Agreement") is an agreement between Bitsirius ("Bitsirius" or "we") and the user ("User" or "you") who uses the services provided by Bitsirius and/or the official Bitsirius website [bitsirius.com] (the "Bitsirius Website"). This Agreement describes the relevant rights and responsibilities of Bitsirius and the user. By using the services provided by Bitsirius and/or the Bitsirius Website, you agree to all the terms set forth in this Agreement and the Bitsirius Privacy Policy. If you do not agree to any terms of this Agreement or the Bitsirius Privacy Policy, please do not use the services provided by Bitsirius or the Bitsirius Website. If you purchase any products or services from Bitsirius, you must also agree to and comply with the service agreement for such products or services.

1. General Provisions

1.1 Bitsirius reserves the right to modify the terms of this Agreement at any time at its sole discretion. You are responsible for reviewing this Agreement periodically to stay informed of any updates. This Agreement and any amendments thereto shall take effect immediately upon publication on the Bitsirius Website (unless otherwise specified). Your continued use of the services or the Bitsirius Website after any modifications constitutes your acceptance of and agreement to such modifications.

1.2 If you object to any modifications to this Agreement or are dissatisfied with the services and/or the Bitsirius Website, you must immediately:

(1) Cease using the services and the Bitsirius Website; and

(2) Notify Bitsirius via customer service channels to terminate the services. Upon termination, your right to use Bitsirius’ services will cease immediately.

2. User Registration

2.1 You hereby represent and warrant to Bitsirius as follows, and these representations and warranties shall be deemed renewed each time you use Bitsirius’ services:

(1) If you are a natural person, you are at least 18 years old and have full legal capacity;

(2) If you are an entity, you are duly established, validly existing, and in good standing under the laws of your jurisdiction. Specifically, you warrant that no residents of the People’s Republic of China are using such entity to register or use the services;

(3) Your acceptance and use of Bitsirius’ services comply with applicable laws, regulations, and policies in your country/region and do not violate any obligations you owe to any third party; and

(4) You have the authority to use Bitsirius’ services and fulfill related obligations, and this Agreement and any related service purchase orders are valid and binding on you.

2.2 Regarding the registration data and information ("Registration Information") you provide, you agree:

(1) To provide lawful, truthful, accurate, and complete Registration Information;

(2) To promptly notify Bitsirius of any changes to your Registration Information. If your Registration Information is unlawful, untruthful, inaccurate, or incomplete, you shall bear all corresponding responsibilities and consequences;

(3) Bitsirius reserves the right to impose certain restrictions and/or suspend or terminate your use of its services based on the information you provide and its compliance obligations and internal risk control policies;

(4) Unless prior written consent is obtained from Bitsirius, each user may only register one account on Bitsirius;

(5) For Know Your Customer ("KYC") and/or anti-money laundering compliance purposes, Bitsirius may require you to provide identity verification and/or financial information of the account owner;

(6) Certain features of Bitsirius’ services may require you to enter your username and password. If you cannot access your account due to a forgotten password or other reasons, Bitsirius may request specific information, including identity verification, to confirm account ownership, such as proof of identity, proof of residence, phone/email verification, and identifiable activity records on the website (e.g., transaction ID, order number, withdrawal amount). You agree not to share your username and/or password or allow any third party to use your account. Bitsirius shall not be liable for any consequences or losses arising from improper use of your account or password by you or any third party. If you suspect unauthorized access to your account, you must notify Bitsirius immediately.

2.3 You understand and acknowledge that Bitsirius may disclose all or part of your Registration Information as required by applicable laws or regulatory authorities.

3. Risk Disclosure

3.1 You understand and acknowledge that holding, trading, investing in, or using digital asset-related services involves risks. The risks listed in this Section 3.1 are not exhaustive, and additional risks may arise that could prevent you from earning any returns, cause financial losses, or even lead to termination of our services:

(1) Using any digital asset or related products/services carries potential financial, regulatory, and other risks. Before using any digital asset or related services, you should ensure you have sufficient knowledge and experience in blockchain technology, digital assets, and smart contract functionality and risks. Your decision to engage in any digital asset activity and/or use related services should be based on independent research and/or professional consultation. Bitsirius assumes you are a professional familiar with the digital asset industry and its risks when using our services. This Agreement and any services provided by Bitsirius shall not be construed as investment advice;

(2) The value of any Bitsirius product/service or any digital asset may be affected by factors beyond our control, including but not limited to changes in mining difficulty/parameters, market price fluctuations of digital assets, hardware obsolescence, and depreciation;

(3) Due to the nature of digital assets, their value may depreciate partially or entirely at any time. You acknowledge that the value of any digital asset may drop rapidly (even to zero). Bitsirius shall not be liable for any losses due to market price volatility;

(4) Bitsirius may perform system maintenance or upgrades periodically. You acknowledge that our services are not guaranteed to be uninterrupted. Unless otherwise agreed, Bitsirius shall not be liable for any losses due to service interruptions caused by maintenance/upgrades;

(5) No identity verification or computer security technology is 100% secure. You agree to bear all risks related to hacking or identity theft;

(6) You acknowledge that Bitsirius may publish, modify, and/or provide service-related information via its website, email, customer service, SMS, or other official channels. Bitsirius is not responsible for information obtained through unofficial channels. If you doubt the authenticity of any communication claiming to be from Bitsirius, contact us immediately;

(7) Global regulations on blockchain technology, digital assets, mining pools, cryptocurrencies, tokens, and Bitsirius’ services are still evolving and vary significantly across jurisdictions. Regulatory changes may adversely affect the services and the value of digital assets. You understand, acknowledge, and assume such risks.

4. Use of Digital Assets

4.1 You shall not mine, buy, sell, exchange, hold, or otherwise use any digital asset in a manner prohibited by applicable laws.

4.2 Before using Bitsirius’ services, you should assess whether they align with your financial capacity and risk tolerance. Using any Bitsirius service constitutes your acceptance of all risks associated with digital assets, including but not limited to:

(1) Extreme price volatility (digital assets may drop to zero);

(2) Delayed or unconfirmed transactions (some may never confirm);

(3) Irreversible transactions (sending assets to the wrong address means permanent loss);

(4) Loss of access due to forgotten PINs/passwords;

(5) Potential unknown technical flaws in blockchain/digital asset technology; and

(6) New laws/regulations affecting digital asset use.

5. Restrictions and Obligations

5.1 You shall not use Bitsirius’ services for illegal activities, including but not limited to:

(1) Supporting terrorism;

(2) Money laundering;

(3) Spreading false information or disrupting social order;

(4) Distributing obscene, violent, or terrorist content; or

(5) Any other activity violating applicable laws.

5.2 You agree to comply with all applicable laws, this Agreement, and any rules/policies announced by Bitsirius.

5.3 You agree to provide all documents/information reasonably requested by Bitsirius for KYC/anti-money laundering compliance.

5.4 You are solely responsible for the security of your account password/credentials. Any actions taken via your account are deemed authorized by you. Bitsirius is not liable for risks/losses due to unauthorized use caused by your negligence. Report suspected unauthorized use immediately.

5.5 You warrant that funds used to purchase Bitsirius products are legally sourced, and you are solely responsible for any tax obligations arising from using our services.

5.6 You agree to use Bitsirius’ services only for your own benefit, not on behalf of others.

5.7 You must notify Bitsirius immediately if you suspect fraudulent/misconduct by any third party using our services.

5.8 Unless Bitsirius grants prior written consent, you shall not register multiple accounts or use them to obtain profits/rewards/coupons.

5.9 You shall not use another user’s account/password without explicit permission. Bitsirius is not liable for losses due to your breach of this obligation.

5.10 You shall not engage in activities jeopardizing the security of Bitsirius’ services/website.

5.11 You shall not mask your internet traffic/IP address (e.g., via Proxy, Tor, VPN) or use other technologies to conceal your connection.

5.12 All intellectual property on the Bitsirius Website (e.g., articles, images, designs) is owned by Bitsirius or its licensors (if any). You shall respect such rights.

5.13 Bitsirius grants you a limited, non-exclusive, revocable, non-transferable license to use its products per this Agreement. All rights (including copyrights, trademarks, patents) remain with Bitsirius or its licensors.

5.14 Without Bitsirius’ prior written authorization, you shall not act in Bitsirius’ name or use its website content/data.

5.15 Regarding any materials/information provided by Bitsirius, you agree:

(a) To use them only for purposes permitted under this Agreement and applicable laws;

(b) Not to disclose them to third parties unless legally required; and

(c) Not to modify, create derivatives, or combine them with other information without Bitsirius’ consent.

5.16 You shall not make any statements (written, oral, or otherwise) that directly or indirectly defame or harm Bitsirius (including its subsidiaries, affiliates, officers, employees, partners, or shareholders), except as required by law.

5.17 You understand that Bitsirius’ services are not available to:

(1) Entities/individuals in U.S.-sanctioned jurisdictions;

(2) Individuals/entities controlled (50%+ ownership) by U.S., EU, UN, or Singapore sanctions targets; or

(3) Others failing Bitsirius’ compliance/internal policies.

If you become a "Restricted Person" after using our services, you assume all legal risks/liabilities and must compensate Bitsirius for any losses. Bitsirius may deny service without refund.

5.18 You shall not use the services:

(1) In violation of sanctions laws (e.g., U.S./Singapore laws);

(2) On behalf of or for the benefit of Restricted Persons; or

(3) In transactions involving Restricted Persons.

6. Liability for Breach

6.1 If Bitsirius determines you violated this Agreement ("Breach"), it may suspend/terminate your access without notice. You shall compensate Bitsirius for all losses (defined in Section 7.6) due to the Breach. Bitsirius may withhold payments to cover such losses. A Breach constitutes unfair commercial practice, and Bitsirius may seek injunctive relief. These remedies supplement any other legal remedies. Bitsirius is not liable to you or third parties for suspending/terminating access due to a Breach.

6.2 If Bitsirius reasonably suspects illegal/fraudulent use of its services, it may suspend services until you provide compliant proof.

6.3 Bitsirius may terminate your access without notice for reasons including:

(1) Law enforcement/government requests;

(2) Your request (account deletion);

(3) Service discontinuation/modification; or

(4) Technical issues.

7. Disclaimer & Liability Limitation

7.1 Bitsirius does not guarantee error-free/uninterrupted services or that defects will be corrected. Services are provided "as is." Information may change without notice. Bitsirius does not ensure services are virus-free. To the fullest extent permitted by law, Bitsirius disclaims all warranties (express/implied), including accuracy, non-infringement, merchantability, and fitness for purpose. Bitsirius is not liable for third-party actions/inactions related to your service use. You use services at your own risk. Your sole remedy for dissatisfaction is discontinuing use. This disclaimer covers damages from performance failures, errors, interruptions, viruses, theft, or unauthorized access, whether due to breach, tort, negligence, or otherwise.

7.2 Bitsirius may modify/suspend/terminate the website/services without notice for maintenance, corrections, or other changes.

7.3 Bitsirius is not liable for service interruptions due to uncontrollable events (e.g., war, terrorism, natural disasters, epidemics, regulatory actions). Bitsirius will minimize disruptions but assumes no liability for such events.

7.4 Third-party links are provided for convenience only. Bitsirius does not endorse linked content. Since third-party sites are beyond our control, Bitsirius is not liable for losses from accessing them.

7.5 Unless Bitsirius expressly agrees in writing, it is not liable for:

(1) Lost trading profits;

(2) Service interruptions (not caused by Bitsirius’ intentional misconduct);

(3) Data loss/corruption (not caused by Bitsirius’ intentional misconduct);

(4) Mining power depreciation/market exit;

(5) Legal/policy changes;

(6) Non-compliance with Bitsirius’ policies based on your provided information;

(7) Losses due to your fault/breach (e.g., inaccurate information, password leaks); or

(8) Other uncontrollable events.

7.6 You agree to indemnify Bitsirius, its affiliates, and their officers/directors/employees/agents for all losses (including legal fees) due to your Breach. In no event shall Bitsirius be liable for special, incidental, indirect, or consequential damages or lost profits.

7.7 If you have any claim for damages (including Breach), your sole remedy is direct damages capped at $10.00 USD, unless Bitsirius expressly agrees otherwise in writing.

8. Miscellaneous

8.1 Waiver: Bitsirius’ delay/failure to enforce any right under this Agreement does not waive such right.

8.2 Severability: If any term is deemed invalid, it shall be modified to the minimum extent necessary to make it valid, without affecting other terms.

8.3 Governing Law: This Agreement is governed by Seychelles law (excluding conflict-of-law principles).

8.4 Dispute Resolution: Any dispute related to your use of services, products, or your relationship with Bitsirius shall be resolved by binding arbitration (not in court), except for IP infringement claims, which may seek injunctive relief in court. You and Bitsirius waive the right to a jury trial. Pending disputes may suspend obligations until resolution.

8.5 Arbitration Agreement: Disputes (including validity/termination of this Agreement) shall be submitted to the Singapore International Arbitration Centre (SIAC) under SIAC rules. The arbitration seat is Singapore. The tribunal consists of three arbitrators (one appointed by each party, the third by SIAC’s President). The language is English. Costs are borne by the losing party, who must also reimburse the winner’s legal fees. Claims must be arbitrated individually (not as a class/representative action).

8.6 Entire Agreement: Continued use of Bitsirius’ services confirms this Agreement supersedes all prior agreements on the same subject.

8.7 Language: The English version of this Agreement prevails.
